Terms and Conditions

These Terms & Conditions apply to all training courses, consultancy services, examinations, digital learning products and related services supplied by SYSOP Ltd (“SYSOP”, “we”, “us” or “our”).

By placing an order, confirming a booking, submitting a website booking, accepting a quotation or otherwise instructing SYSOP to proceed, the Client agrees to these Terms & Conditions.


1. Definitions

“Client” means the organisation or individual purchasing services from SYSOP.

“Delegate” means the individual attending or accessing training services.

“Course Fee” means the fee payable for training, consultancy, examinations or related services.

“Total Charge” means the full amount payable for the relevant training, consultancy, examination, digital learning or related service.

“Training Credits” means prepaid credit purchased from SYSOP for future services.

“Training Partner” means any third-party organisation authorised by SYSOP to deliver training, examinations, digital learning or related services.

“Working Day” means Monday to Friday excluding public holidays in England.


2. Bookings and Contract Formation

Bookings may be made through SYSOP’s website, by email, by purchase order, through acceptance of a quotation, or by any other method accepted by SYSOP.

A booking shall be treated as confirmed when the Client indicates that they wish to proceed with the booking, including by email confirmation, website booking submission, purchase order, written acceptance of a quotation, or other written instruction.

Where a Client confirms by email that they wish to proceed, SYSOP shall be entitled to treat that email as authorisation to process the booking and issue an invoice.

SYSOP will normally acknowledge bookings within one working day of receipt.

Joining instructions and any applicable pre-course information will normally be issued between one and two weeks prior to the course start date.

SYSOP reserves the right to make reasonable changes to course content, trainers, schedules, venues, delivery format and/or course materials where necessary.

SYSOP also reserves the right to change classroom-based courses to virtual delivery where reasonably required.


3. Delivery of Services and Training Partners

SYSOP may deliver services directly or through approved Training Partners, subcontractors or affiliate organisations.

Where training, examinations, digital learning products or related services are provided by a Training Partner or third-party vendor, additional supplier terms and conditions may apply.

In the event of any conflict between SYSOP’s Terms & Conditions and mandatory third-party supplier terms, the relevant supplier terms shall take precedence only to the extent required for SYSOP to comply with its supplier obligations.

SYSOP shall use reasonable skill and care in selecting suitably qualified trainers and delivery partners.


4. Course Materials and Intellectual Property

Delegates may receive printed or electronic course materials appropriate to the course attended.

All course materials, training content and documentation remain the intellectual property of SYSOP and/or its licensors.

Materials are supplied solely for the personal use of the registered Delegate and must not be copied, reproduced, distributed, shared, uploaded or commercially exploited without prior written permission from SYSOP.

Some courses include mandatory pre-course study. Delegates are responsible for ensuring sufficient time is allocated to complete all required preparation work.


5. Delegate Responsibilities

Delegates are responsible for:

  • ensuring they meet any published course or examination prerequisites;
  • attending courses on time;
  • completing required assignments or practical exercises;
  • complying with all venue, virtual classroom and health and safety requirements;
  • ensuring they have appropriate equipment, connectivity and access for virtual or online training.

SYSOP reserves the right to remove a Delegate from a course where behaviour is disruptive, inappropriate or unreasonable. In such circumstances no refund shall be payable.


6. Examinations and Exam Vouchers

Delegates are responsible for ensuring they meet all applicable examination prerequisites before booking.

Where examination vouchers are supplied:

  • examination vouchers are generally non-refundable once issued;
  • examination vouchers may only be transferred or reassigned prior to redemption, activation, scheduling or association with a named candidate;
  • once redeemed, activated, scheduled or linked to a candidate profile, examination vouchers become strictly non-transferable and non-refundable.

All examination services are additionally subject to the terms and conditions of the relevant examination provider.

SYSOP accepts no responsibility for:

  • vendor examination availability;
  • examination platform outages;
  • changes to certification programmes;
  • withdrawal of certifications by third-party vendors;
  • failure by a Delegate to meet examination prerequisites.

7. Training Credits

Training Credits are valid for twenty-four (24) months from the original invoice date unless otherwise agreed in writing.

Unused Training Credits shall automatically expire after this period without refund or extension.

Training Credits are non-refundable, cannot be exchanged for cash and may only be used for services supplied by SYSOP.

Any extension to validity periods shall be entirely at SYSOP’s discretion.


8. Payment Terms

Invoices are normally issued upon order confirmation unless otherwise agreed in writing.

Payment terms are 30 days from invoice date.

SYSOP reserves the right to require payment in full prior to:

  • course attendance;
  • examination booking;
  • release of examination vouchers;
  • access to digital learning services;
  • delivery of consultancy services;
  • commencement of bespoke development or customisation work.

Where payment has not been received by the course start date or service delivery date, SYSOP reserves the right to:

  • refuse attendance;
  • withhold course materials, examination vouchers or certifications;
  • suspend services;
  • reschedule or cancel the booking;
  • withhold access to digital learning or third-party services.

Time for payment shall be of the essence.

SYSOP reserves the right to charge statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

All prices are exclusive of VAT unless otherwise stated.


9. Cancellation, Transfer, Rescheduling and Amendment Administration Fee

An administration fee of £95 may apply to any cancellation, transfer, rescheduling, name change, substitution or amendment request.

This administration fee may apply to all services supplied by SYSOP, including but not limited to:

  • public scheduled courses;
  • in-house training;
  • consultancy services;
  • examinations;
  • examination vouchers;
  • digital learning products;
  • third-party training services;
  • bespoke development or customisation work.

Where applicable, this administration fee shall be in addition to any cancellation charges, non-refundable supplier costs, examination fees, digital licence fees, subcontractor charges, venue costs, travel costs or other costs already incurred by SYSOP.

SYSOP may waive the administration fee at its discretion.


10. Public Scheduled Courses – Cancellations

All cancellation requests must be submitted in writing.

Cancellation charges may also include any non-refundable third-party costs already incurred by SYSOP, including examination fees, digital licences, subcontractor charges, venue costs or travel costs.

Failure to attend a course without prior written cancellation shall be treated as a cancellation with full fees payable.


11. Public Scheduled Courses – Transfers and Substitutions

Transfer requests must be submitted in writing.

Delegate Name Changes and Substitutions

Delegate name changes or substitute Delegates may be accepted provided:

  • all course prerequisites are met;
  • SYSOP is notified in writing before the course start date;
  • any associated examination voucher has not been redeemed, activated, scheduled or allocated to a named candidate;
  • the relevant Training Partner, examination provider or third-party supplier permits the change.

Once an examination voucher has been redeemed, activated, scheduled or associated with a named candidate, the voucher is strictly non-transferable and non-refundable.

Where a Training Partner, examination provider or third-party supplier imposes stricter name change, transfer or substitution terms, those supplier terms may apply.


12. Cancellation or Rescheduling by SYSOP

SYSOP reserves the right to cancel, reschedule or modify courses where necessary due to operational requirements or circumstances beyond its reasonable control.

Where SYSOP cancels a course, Clients will be offered either:

  • a transfer to an alternative date; or
  • a refund of fees paid for the affected course.

SYSOP shall not be liable for:

  • travel costs;
  • accommodation costs;
  • loss of earnings;
  • loss of opportunity;
  • consequential or indirect losses

arising from course cancellation, rescheduling, relocation or change of delivery format.


13. In-House Training and Consultancy

All cancellation or rescheduling requests must be submitted in writing.

Where SYSOP has incurred non-recoverable third-party supplier, subcontractor, venue, travel or preparation costs, SYSOP reserves the right to recover such costs from the Client.

Additional costs already incurred by SYSOP on behalf of the Client may also be chargeable.

Where a Training Partner or subcontractor imposes cancellation or rescheduling charges on SYSOP, SYSOP reserves the right to pass those charges on to the Client.

Delegate Name Changes and Substitutions

  • all course prerequisites are met;
  • SYSOP is notified in writing before the course or consultancy start date;
  • any associated examination voucher has not been redeemed, activated, scheduled or allocated to a named candidate;
  • the relevant Training Partner, examination provider or third-party supplier permits the change.

Once an examination voucher has been redeemed, activated, scheduled or associated with a named candidate, the voucher is strictly non-transferable and non-refundable.

Where a Training Partner, examination provider or third-party supplier imposes stricter name change, transfer or substitution terms, those supplier terms may apply.


14. Bespoke Course Development and Customisation

Where SYSOP undertakes bespoke course development, customised materials, tailored course preparation, private lab configuration or other pre-delivery consultancy or preparation work prior to course delivery, SYSOP reserves the right to charge for such work irrespective of course cancellation.

If a course is cancelled with more than fifteen (15) UK Working Days’ notice, SYSOP may still charge the Client for any development or customisation work already completed.

Any such charges shall be reasonable and proportionate to the work undertaken.

Where third-party or subcontractor costs are incurred in connection with bespoke development or customisation, SYSOP reserves the right to recover those costs from the Client.


15. Digital Learning and Third-Party Services

SYSOP may resell, arrange or provide access to third-party:

  • digital learning products;
  • online learning platforms;
  • examination services;
  • subscription services;
  • related training content.

Such services may be governed by separate third-party terms, licence conditions and usage restrictions.

Where applicable, the following shall be governed by the relevant supplier’s policies:

  • access periods;
  • cancellation rights;
  • refund eligibility;
  • transfer rights;
  • licence terms;
  • technical requirements;
  • platform availability.

Once digital access, licences, examination services or third-party services have been issued, activated or redeemed, they are generally non-refundable and non-transferable unless otherwise permitted by the relevant provider.

SYSOP accepts no responsibility for:

  • third-party platform outages;
  • supplier system availability;
  • vendor content changes;
  • certification changes;
  • withdrawal of third-party products or services;
  • restrictions imposed by third-party suppliers.

16. Limitation of Liability

SYSOP’s total liability arising from any contract or booking shall not exceed the total fees paid by the Client for the relevant services.

SYSOP shall not be liable for:

  • indirect losses;
  • consequential losses;
  • loss of profits;
  • loss of revenue;
  • loss of business opportunity;
  • loss of anticipated savings;
  • travel or accommodation costs;
  • loss arising from third-party supplier changes or withdrawal of services.

Nothing in these Terms excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any liability which cannot legally be excluded.

17. Force Majeure

SYSOP shall not be liable for any delay or failure to perform obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • industrial disputes;
  • illness;
  • internet or telecommunications failures;
  • supplier failures;
  • government restrictions;
  • venue closures;
  • transport disruption;
  • examination provider outages;
  • third-party platform failures.

In such circumstances, SYSOP may reschedule, relocate, substitute, defer or change the delivery format of the affected service.


18. Data Protection

SYSOP will process personal data in accordance with applicable UK data protection legislation.

Delegate information may be shared with Training Partners, examination providers or third-party suppliers where necessary for:

  • course delivery;
  • examination administration;
  • certification processing;
  • digital learning access;
  • learner support;
  • fulfilment of the Client’s booking.

The Client is responsible for ensuring that any Delegate information provided to SYSOP is accurate and that Delegates are aware their information may be used for these purposes.


19. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

The parties submit to the exclusive jurisdiction of the courts of England and Wales.
